These terms apply to every HeatX quotation and order unless the quotation or order acknowledgment states otherwise. Terms printed on a purchase order or other buyer document do not apply unless HeatX accepts them in writing.
Quotations
A HeatX quotation is based on the product, duty, utility and conditions stated in it, and remains open for the period shown on the quotation. If those conditions change, the selection and price may change with them.
Orders and acknowledgment
An order is accepted when HeatX acknowledges it in writing. The order acknowledgment states the equipment, the drawings and documents to be supplied, the price, payment terms, shipping terms and any conditions particular to the order. Where these terms and the acknowledgment differ, the acknowledgment governs.
Drawings and approval
Where drawings or data sheets are submitted for your approval, the schedule runs from the date the approved documents are returned to HeatX. Changes requested after approval may affect price and delivery.
Payment
Payment is due on the terms stated on your quotation or order acknowledgment. HeatX may hold shipment of further items on an account that is past due.
Shipment, title and risk
Shipping terms, freight responsibility, and the point at which title and risk pass to the buyer are stated on the order acknowledgment.
Inspect the equipment on arrival. Note any shipping damage on the delivery receipt before signing it, and report the damage to HeatX in writing with photographs.
Changes, cancellation and returns
Changes to an accepted order must be agreed in writing and may change price and delivery. An order canceled after acceptance is subject to charges for engineering, material and work completed up to the cancellation.
Equipment and parts are built or selected for your duty and may be returned only with written authorization from HeatX, on the conditions given at that time.
Your information
Process data, drawings and nameplate details you send are used to select, quote and supply your equipment. HeatX does not share them outside the people and suppliers who need them to complete your order.
Warranty and liability
Equipment supplied by HeatX is covered by the HeatX warranty and the warranty terms on your order acknowledgment. HeatX's total liability on any order is limited to the price of the equipment concerned, and HeatX is not liable for indirect or consequential loss.
